Eligibility

You must have the legal capacity to enter into a binding agreement to use our services.

If you use Niishflow on behalf of a company, organization, or other business entity, you confirm that you have the authority to accept these Terms and Conditions on its behalf.

Use of Our Website and Services

You agree to use our website and services only for lawful business purposes.

You must not:

• Use our services for unlawful, fraudulent, abusive, or misleading activities.
• Attempt to gain unauthorized access to our systems, accounts, servers, or networks.

You are responsible for ensuring that you have the necessary rights, permissions, and lawful basis to collect and process such information.

Niishflow does not claim ownership of your customer or business data merely because you use our services.

Customer Responsibilities

You are responsible for determining what information should be entered into the CRM and how that information should be used.

You must ensure that your use of the CRM complies with applicable laws, regulations, contractual obligations, and industry requirements.

Where you collect personal information from your customers, leads, employees, or other individuals, you are responsible for providing appropriate notices and obtaining any required consent or other lawful basis.

CRM Development and Customization Services

Where Niishflow provides custom development or customization services, the scope of work will be based on the approved proposal, quotation, requirements document, statement of work, or other written agreement.

Additional features, integrations, revisions, or requirements outside the agreed scope may require additional charges and delivery time.

Changes to approved requirements may affect project timelines and pricing.

Third-Party Integrations

Our CRM may integrate with third-party applications, platforms, APIs, payment providers, communication services, hosting providers, analytics tools, or other external services.

Third-party services are governed by their own terms and privacy policies.

We are not responsible for:

• Changes made by third-party providers.
• Third-party service interruptions.
• API limitations or discontinued APIs.
• Changes in third-party pricing.
• Data processing performed directly by third-party providers.

Where an integration requires credentials or authorization, you are responsible for providing valid authorization and maintaining the required permissions.

Fees and Payments

Applicable fees will be communicated through the selected pricing plan, quotation, invoice, order form, or service agreement.

Unless otherwise agreed in writing:

• Payments must be made within the specified payment period.
• Taxes and applicable government charges may apply.
• Development and customization charges may be based on milestones or agreed project stages.
• Subscription fees may be billed monthly, annually, or according to the selected plan.

Failure to make required payments may result in suspension or termination of services.

Intellectual Property

Niishflow and its licensors retain ownership of the software, platform, website, design elements, trademarks, documentation, source code, system architecture, and other materials developed or provided by us, except for customer-owned content or intellectual property expressly identified as belonging to the customer.

Unless otherwise agreed in writing, purchasing access to our services does not transfer ownership of our underlying software or intellectual property to you.

For custom development projects, ownership and licensing of project-specific deliverables will be governed by the applicable written agreement.

Confidentiality

Both parties may receive confidential information while working together.

Each party agrees to use reasonable care to protect confidential information and not disclose it to unauthorized third parties except where disclosure is required by law or necessary to provide the agreed services.

Confidential information does not include information that is publicly available, independently developed, already lawfully known, or received from a third party without confidentiality restrictions.

Security

We use reasonable technical and organizational measures intended to protect information handled through our services.

However, no online system can be guaranteed to be completely secure. You are also responsible for maintaining appropriate account security, access controls, passwords, user permissions, and other security practices within your organization.

Support and Maintenance

Support services, response times, maintenance coverage, and service levels may vary according to your selected plan or separate agreement.

Custom development projects may include a defined support or warranty period where stated in the applicable proposal or agreement.

Support does not automatically include new features, major customizations, third-party integration changes, or work outside the agreed scope.

Suspension and Termination

We may suspend or terminate access to our services if:

• You materially violate these Terms.
• Required payments remain unpaid.
• Your use creates a security or legal risk.
• You use the services for unlawful or prohibited activities.
• Suspension is required by law or a competent authority.

Where appropriate, we may provide notice and an opportunity to resolve the issue before suspension.

Data After Termination

After termination or cancellation, customer data may be retained for a reasonable period where necessary for legal, security, backup, accounting, or legitimate business purposes.

Data export or deletion procedures may depend on the applicable plan and service agreement.

You should maintain appropriate backups of important business information.

Disclaimers

Niishflow provides its services on an "as available" basis unless a separate written agreement states otherwise.

We do not guarantee that the services will:

• Meet every specific business requirement.
• Always operate without interruption.
• Be completely free from errors.
• Remain unchanged indefinitely.
• Work with every third-party platform or integration.

Limitation of Liability

To the maximum extent permitted by applicable law, Niishflow will not be responsible for indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of our website or services.

Our liability, where legally permitted, will be limited to the amount paid by the customer for the relevant service during the applicable period, subject to the terms of the applicable agreement.

Nothing in these Terms limits liability that cannot legally be limited.

Changes to These Terms

We may update these Terms and Conditions when our services, business practices, or legal requirements change.

Updated terms will be published on this page with a revised "Last Updated" date.

Your continued use of the services after an update becomes effective constitutes acceptance of the revised terms, where permitted by applicable law.

Governing Law

These Terms shall be governed by the applicable laws of India.
